The Lufthansa Group has officially completed its entry into the Italian airline ITA Airways. On January 13, 2025, Lufthansa will initially take over 41 percent of the shares through a capital increase. This was announced by CEO Carsten Spohr. 325 million euros will flow directly to ITA for the shares. In the long term, a full takeover is expected to take place by 2033 and will cost a total of 829 million euros, including a performance-related “earn out” bonus.
A new board of directors will also be appointed. Italian has three members and Lufthansa has two. Jörg Eberhart was appointed as the new CEO of ITA Airways. The traveling manager previously headed the Italian Lufthansa subsidiary Air Dolomiti and knows the market very well. With the takeover, Lufthansa strengthens its position in southern Europe and secures control over another strategic aviation market.
The Italian state will initially remain a shareholder in ITA Airways, possibly beyond 2030. Lufthansa’s takeover plan calls for the group to gradually increase its stake to 90 percent before fully integrating the airline.
The takeover took place after intensive negotiations and the approval of the European Union. With this step, Lufthansa is continuing its expansion strategy and building on its previous investments in international airlines.
